End User License Agreement (EULA)

This End User License Agreement ("Agreement") is entered into by and between you ("User", "Customer", or "You") and Innovative Insurance Resources LLC, a Hawaii, USA corporation ("Company", "We", "Us", or "Our"), and governs your use of the Drop2desk Client Portal SaaS application ("Service").

By accessing or using the Service, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to your compliance with this Agreement, We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

You may not sublicense, resell, or otherwise make the Service available to any third party without our prior written consent.

2. Account Registration and Access

You must register for an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

We reserve the right to suspend or terminate your access if unauthorized activity is detected or if the terms of this Agreement are violated.

3. Restrictions

You shall not:
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
- Use the Service in violation of any applicable laws or regulations
- Use the Service to transmit any malicious code or unauthorized data
- Reproduce, distribute, or create derivative works from the Service

4. Payment and Billing

Your use of the Service is subject to the subscription fees outlined in your plan. Fees are billed monthly/annually in advance and are non-refundable, except as required by law.

Failure to make timely payments may result in suspension or termination of access to the Service.

5. Intellectual Property

All rights, title, and interest in and to the Service, including all related software, content, and documentation, are and shall remain the exclusive property of the Company and its licensors.

You retain ownership of your data uploaded or generated via the Service.

6. Data Security and Privacy

We implement appropriate technical and organizational measures to protect your data. Our Privacy Policy governs how we collect, use, and store your data.

You are responsible for the accuracy and legality of the data you submit to the Service.

7. Term and Termination

This Agreement remains in effect until terminated by either party. You may terminate this Agreement at any time by ceasing use of the Service and deleting your account.

We may suspend or terminate your access to the Service at our discretion, including for non-payment or violation of this Agreement.

Upon termination, your license to use the Service will cease, and we may delete your data in accordance with our retention policy.

8. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF THE SERVICE.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE PRECEDING 12 MONTHS.

10. Support and Availability

We will make commercially reasonable efforts to ensure availability of the Service. Support is available via [email protected].

We may perform scheduled maintenance which could result in temporary downtime, and we will use reasonable efforts to notify you in advance.

11. Governing Law

This Agreement shall be governed by the laws of Hawaii, USA, without regard to its conflict of laws principles.

Any disputes shall be resolved in the courts located in Honolulu, HI.

12. Changes to the Agreement

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by updating the "Effective Date" and/or via in-app notifications.

Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.
